PURCHASE TERMS

Limited Warranties

The warranty and return policy for all products sold below (the “products”) are determined by the original manufacturer or supplier. All products sold by Boulons Plus are warranted to the extent of the manufacturer’s or supplier’s warranty and only to purchasers (“buyers”) for resale or for use in their business in Canada.

Products are warranted against manufacturing and material defects only under the warranty policy of each manufacturer. Manufacturers of certain products, such as fasteners, do not have a warranty period.

Any part recognized by Boulons Plus as having a defect in material or workmanship and returned to a Boulons Plus branch or to an authorized service center designated by Boulons Plus, with prepaid transportation costs, will be replaced at the sole discretion of Boulons Plus, as the buyer’s exclusive remedy.

Exclusion of Warranty

Boulons Plus has made diligent efforts to illustrate and describe as accurately as possible the products in its catalog; however, these illustrations and descriptions are provided solely for the purpose of identification, and they imply no express or implied warranty or condition that the products are merchantable, fit for a particular purpose, or that the products will necessarily conform to the illustrations or descriptions. Products are sold to buyers on an “as-is, where-is” basis, and no warranty, condition, or representation of fact, express or implied, other than those described in the limited warranty above, is granted or authorized by Boulons Plus. Prompt Resolution

Boulons Plus will make a good-faith effort to promptly correct or otherwise modify any product proven defective during the warranty period. Before returning a product, write to or call the Boulons Plus store where it was purchased, providing the date and number of the original invoice and describing the defect. The Boulons Plus branch will give you instructions on how to return the product.

Appropriate Product

Many provinces and territories have laws, codes, and regulations that govern the sale, construction, installation, or use of products for certain purposes, and these may differ from those of neighboring jurisdictions. Although Boulons Plus strives to ensure that its products comply with these codes, it cannot guarantee compliance and cannot be held responsible for the manner in which the products are installed or used. Before purchasing and using a product, please review the product as well as the national, provincial, and local laws, codes, and regulations that apply, and ensure that the product, its installation, and its use comply with them.

Information on Hazardous Materials

For the information of buyers, Boulons Plus has obtained a Safety Data Sheet (“SDS”) for all “controlled products” within the meaning of the Hazardous Products Act (Canada) and its implementing regulations, with respect to products offered for sale by Boulons Plus. The SDS in question complies with occupational health and safety legislation governing “hazardous materials” and its implementing regulations regarding the Workplace Hazardous Materials Information System. These SDSs are available upon request. The information and recommendations contained in the applicable SDSs provided and prepared by the manufacturer are considered accurate and reliable. However, Boulons Plus makes no warranty as to the accuracy or reliability of the information or the suitability of the recommendations. Boulons Plus disclaims all liability to any user in this regard.

Manufacturer Warranties and Commercial Documentation

GENERAL TERMS AND CONDITIONS OF SALE AND TRANSPORTATION

Sales Policy

By placing an order, the buyer accepts the general terms and conditions of Boulons Plus, including the limited warranty, which may fluctuate from time to time and change without notice. The current general terms and conditions, including the limited warranty, can be obtained at www.boulonsplus.net.

Wholesale Sales Only

Boulons Plus sells its products to buyers for use or consumption in business in Canada, and only in accordance with the manufacturer’s specifications, requirements, recommendations, and warranties. By placing an order, the buyer acknowledges that this is a purchase for business purposes and not for consumption. Business identification may be required from buyers. Possession of a catalog does not constitute a right to purchase from Boulons Plus.

Prices listed are in Canadian dollars and may change without notice. Quotes for bulk purchases may be developed upon request. For more information, contact your Boulons Plus branch or representative.

Sales Taxes

Boulons Plus must collect Goods and Services Tax (GST) and applicable provincial sales taxes on items for which a valid tax exemption certificate has not been provided. When ordering, please provide any valid exemption certificate.

Payment Terms

For buyers with established credit, terms are net thirty (30) days from the date of delivery. If credit has not been established, please include payment with the order, or purchase using Visa, Mastercard, or American Express. All payments must be in Canadian dollars. Boulons Plus reserves the right to collect and deduct any amount owed to it. If the buyer fails to make payment within thirty (30) days, Boulons Plus may delay delivery until payment is made or may, at its option, cancel all or part of any order not yet delivered. Interest of 2% per month will be charged on overdue accounts (26.82% compound annual rate).

Credit Balance

The buyer agrees that any credit balance issued shall be used within one (1) year of issuance. If the credit balance is not used or claimed within one (1) year, the remaining balance may be cancelled, and Boulons Plus shall have no further liability in this regard.

Product Availability and Special Orders

Products are subject to availability at the time of ordering. For special orders, certain items must meet minimum quantity requirements set by the manufacturer and may require a longer delivery time.

When products purchased from Boulons Plus are to be exported, the buyer is solely responsible for the export of the products from Canada and their import into the destination countries, as well as for compliance with applicable regulations, including Canadian export control laws, rules, and regulations. Under no circumstances shall Boulons Plus be the exporter. The buyer may not export products purchased from Boulons Plus without first obtaining all necessary written authorizations, permits, and approvals, and completing the formalities required by applicable laws, rules, and regulations. The buyer represents and warrants that it will not export or divert the products to any country or person to whom export from Canada is prohibited under applicable laws, rules, and regulations.

Force Majeure

Boulons Plus assumes no liability for damages, costs, or losses sustained by the buyer, nor for any delay, failure to deliver, or failure to perform attributable to events beyond its control, such as force majeure, intervention or non-intervention by a state, government, or other public authorities, confiscation, armed conflict, blockade, insurrection, invasion, quarantine, riot, sabotage, fire, flood, explosion, epidemic, landslide, lightning, earthquake, accident, strike, lockout, work stoppage or slowdown, embargo, power failure, or any delay or failure affecting the products, materials, manufacturing, or transportation.

Shipping Policy

Shipping is made FOB shipping point. Boulons Plus reserves the right to add shipping and handling charges, in particular for small orders, urgent or rural deliveries, or orders requiring special handling.

Title and Risk of Loss

Title and risk of loss for ordered products transfer to the buyer upon shipment by Boulons Plus. If products are damaged during transportation, the buyer must file a claim with the carrier. If products remain undeliverable for two days, the carrier will return them to Boulons Plus. In such cases, additional charges may apply.

Return Policy

All cancellations and returns must be authorized by Boulons Plus (at its discretion) and accompanied by proof of purchase, and may be subject to restocking fees or other charges. Any return attributable to a shipping error, damage, or loss must be reported to Boulons Plus immediately. For returns not related to damage or loss during delivery, the product must be returned within 30 days of shipment, in its original packaging and in resalable condition.

Assignment

The buyer may not assign an order or any right thereunder without the written consent of Boulons Plus. In the event of assignment or attempted assignment, Boulons Plus may cancel the order upon notice to the buyer.

TERMS OF THE PERSONAL INFORMATION PROTECTION POLICY

At Boulons Plus, we place great importance on the protection of personal information. This policy aims to establish clear guidelines on the collection, use, disclosure, retention, and destruction of personal information of candidates, employees, and clients/suppliers.

Candidates

We collect personal information from candidates for recruitment and selection purposes. The information collected may include, but is not limited to, name, address, telephone number, email address, resume, references, and assessment results.

Candidates’ personal information is used exclusively to evaluate their application, verify references, conduct credit and criminal background checks, and communicate with them throughout the recruitment process.

We share candidates’ personal information only with employees involved in the recruitment process. Information may also be shared with third parties when necessary, such as recruitment agencies, subject to obtaining the candidate’s consent.

Candidates’ personal information is retained until the end of the recruitment process for the position they applied for or until their application is not retained. Thereafter, it is destroyed securely, unless the candidate is hired, in which case their information will be processed in accordance with the “Employees” section.

We use an applicant tracking system (ATS) to manage our pool of applications through the Folks platform, which has its own enhanced security.

Employees

We collect employees’ personal information for human resources management, payroll, employee benefits, legal and regulatory compliance, and performance management. The information collected may include, but is not limited to, name, address, telephone number, email address, social insurance number, banking details, medical records, and performance evaluations.

Employees’ personal information is used to manage their employment, process payroll, administer benefits, evaluate performance, and ensure compliance with labor laws.

Employees’ personal information may be shared with relevant departments within the company, as well as with third parties such as payroll and benefits service providers, government authorities, and legal advisors, when necessary.

Employees’ personal information is retained for the duration of their employment and after the end of their employment in the Nethris platform, the Folks HRIS, and on our secure network.

Clients/Suppliers

We collect clients’ and suppliers’ personal information for the management of business relationships, billing, communication, and contractual compliance. The information collected may include, but is not limited to, name, address, telephone number, email address, payment details, and transaction history.

Clients’ and suppliers’ personal information is used to process orders, issue invoices, provide customer service, manage accounts, and meet contractual and legal obligations.

Clients’ and suppliers’ personal information may be shared with relevant departments within the company, as well as with third parties such as carriers, payment service providers, and legal advisors, when necessary.

Clients’ and suppliers’ personal information is retained for the duration of the business relationship and for a period of [X years] after the end of that relationship, in accordance with legal requirements, after which it is destroyed securely.
